Applicant companies are subject to the 3-tranche model, 15% fixed equity via SAFE Social, and anti-bypass clauses.
1. Who We Are
π Operating Entity & Corporate Ownership:
Voteseed is operated by Alfa Global Services, Tax ID (CNPJ) 34.419.151/0001-09, headquartered at [HEADQUARTERS ADDRESS β TO BE CONFIRMED]. All voluntary contributions submitted to the platform are processed and received by Alfa Global Services.
All payment transactions (whether via Pix by Asaas or Credit Card by Stripe) are managed under the legal and financial responsibility of Alfa Global Services.
2. What Voteseed Is
Voteseed is a platform that receives voluntary contributions from supporters worldwide and distributes them to small businesses, social projects, and humanitarian causes, based on decisions made by the supporter community through public voting.
Voteseed is NOT an investment platform. Contributing to Voteseed does not grant any right to financial return, equity, or any consideration other than transparent tracking of your contribution.
3. Summary of How It Works
- Your contribution enters Voteseed's Single Fund β it is not assigned to a specific project at payment time.
- Registered projects undergo administrative review and, once approved, become eligible for community support in public voting rounds.
- During a round, any supporter with a verified email can vote Yes or No publicly on participating projects.
- At the end of a round, projects with more 'Yes' than 'No' votes become eligible to receive a portion of the Fund. If total requests exceed available balance, distribution is done proportionally.
- Each approved project receives requested capital in up to 3 tranches, each conditioned on winning subsequent voting rounds.
- The entire process β funds collected, votes, distributions β is public and auditable at any time.
4. Nature of Contributions
- All contributions are voluntary and non-refundable, except in cases of proven processing errors or statutory requirements.
- There is no guarantee that your contribution will be directed to a specific project of your choice β funding decisions are made collectively by community vote.
- There is no guarantee of financial return, dividends, interest, or any form of donor remuneration.
5. Distribution of Collected Funds
Of total funds collected:
Directly allocated to projects approved by the community in voting rounds.
Covers platform operational costs (infrastructure, payment processing, security, email) and team compensation.
Detailed financial breakdown is always available in the 'Understand Distribution' section of the platform.
6. Community Ambassador β Role, Eligibility & Conduct
6.1 Overview
Each country may elect a Community Ambassador by public supporter vote (Yes/No). The term has no fixed duration β it remains until platform administration opens a new election in that country or until removal (see 6.5).
6.2 Role and Limits
The Ambassador verifies the legitimacy of projects registered in their country and records their report on the platform. The Ambassador does NOT have the authority to approve, reject, or decide on the distribution of funds β these decisions remain exclusive to Voteseed administration and community public voting, respectively. The title of Ambassador confers no diplomatic or institutional authority outside the platform.
6.3 Candidacy Eligibility
To apply as a Community Ambassador, the user must:
- Have an active account with verified email on Voteseed;
- Have made at least one approved contribution to the platform;
- Not be a founder, partner, or manager of any project registered on Voteseed β this condition must remain true throughout the entire term;
- Submit a mandatory video presentation along with registration.
6.4 Expected Conduct
Upon applying, the candidate declares understanding and agreement that:
- They must act in good faith and impartiality when verifying local projects;
- They must not accept, solicit, or receive any payment, benefit, or advantage from a project or third party in exchange for a favorable report;
- Their pitch video, presentation text, and vote tally will remain permanently public on the platform;
- The role of Community Ambassador is by default voluntary and honorary, without guaranteed remuneration, unless otherwise communicated by Voteseed.
6.5 Removal (Recall)
In the event of evidence of bad faith or conduct contrary to item 6.4, Voteseed administration may open a public removal process with a recorded justification visible to the community. Removal is decided by public supporter vote (Yes/No) from the relevant country. A removed Ambassador immediately vacates office upon closure of the vote if the result favors removal.
6.6 Voluntary Nature & No Employment Relationship
Ambassador service is civic, voluntary, and honorary under international volunteer acts and Brazilian Volunteer Law 9.608/1998. Ambassadors receive NO salary, wages, fees, or labor compensation, and no employment relationship or subordination exists between the Ambassador and Voteseed / Alfa Global Services.
βοΈ6.7 Financial Support for Travel, Lodging & Field Mission Expenses
Although uncompensated, Ambassadors receive full financial reimbursement and advance travel stipends to cover all legitimate operational expenses incurred during field verification visits of elected companies and community projects: air/bus tickets, fuel, tolls, ride-hailing/taxis, reasonable lodging, and meals during official compliance missions.
π§Ύ6.8 Mandatory Accountability: Receipts, Tax Invoices & Strict Audit
Every expense reimbursement or travel allowance strictly requires the submission of authentic tax invoices, receipts, and flight tickets with official Tax ID/CNPJ. Use of travel funds for personal expenses is strictly prohibited. Submitting forged receipts triggers immediate mandate termination, full fund clawback, and criminal prosecution.
7. Participating Projects
- Projects are accepted strictly in the categories: Agriculture, Healthcare, Education, Humanitarian, and Social Projects.
- Voteseed under no circumstances accepts projects related to weapons, ammunition, or military materials.
- All projects undergo review prior to voting. Platform approval does not guarantee accuracy of project representations β supporters form their own judgment via voting.
Rules of Participation, Funding & Fixed 15% Equity for Companies
Any legal entity, company, or project registered on the platform to receive financial resources is strictly subject to the following binding contractual guidelines:
- Disbursement Exclusively to Corporate (PJ) Account: Transfers are strictly executed to the registered legal entity's checking account matching its official tax identifier (CNPJ, EIN, CIF/NIF, NIPC, NIT, NUIT, or Tax ID). Transfers to personal bank accounts of individuals are strictly forbidden.
- 3-Tranche Disbursement (1/3 each): Approved funds are transferred in 3 successive installments of 33.33%, contingent on community votes and verified accountability reports with authentic tax receipts.
- Fixed 15% Equity Stake: In exchange for community funding, Alfa Global Services / Voteseed holds a FIXED 15% equity right in the company, consolidated progressively per tranche and executed via SAFE Social (LC 182/2021).
- β»οΈ Social Reinvestment of Returns (Virtuous Cycle): All dividends, profits, and financial returns earned by Voteseed from its equity holdings will be integrally and exclusively reinvested into supporting new community projects and maintaining the operational sustainability of the platform.
- Executive Title & Injunctions: Agreement constitutes an enforceable executive title (Art. 784, III CPC) with unilateral fund freezing in case of invoice inconsistencies or founder litigation.
- Anti-Bypass & Corporate Succession: Founders are strictly prohibited from transferring IP, clients, or revenue to sister companies. The 15% stake automatically applies to any successor entity.
- Founder Joint Liability & Liability Shield: Founders are personally liable for contract compliance. Voteseed bears no labor, tax, or civil liabilities incurred by the startup.
8. Account & Eligibility
- Users must be at least 18 years old to register and contribute.
- Email verification is required before voting or contributing.
- To vote in company funding rounds, vote in Ambassador elections, or apply as an Ambassador, users must have made at least one approved contribution to the platform. This requirement does not apply to new project submissions by entrepreneurs.
- Users are responsible for account security and password confidentiality.
- To protect the integrity of public voting, Voteseed implements technical fraud prevention and anti-fake account measures, including additional verification checks.
9. Public Ledger of Contributions
To ensure full transparency, Voteseed maintains a public ledger showing contribution amount, country, and date for every donation. Donor name and profile photo appear publicly only if chosen at donation time; otherwise displayed as 'Anonymous Donor'.
10. Limitation of Liability
Voteseed acts as an intermediary and does not guarantee project success or outcome. To the maximum extent permitted by law, Voteseed is not liable for indirect damages resulting from platform use.
11. Amendments to Terms
Terms may be updated periodically. Significant changes will be communicated via email or platform notice prior to taking effect.
12. Governing Law
These Terms are governed by the laws of the Federative Republic of Brazil.

14. DMCA Copyright Notice & Takedown Policy
Voteseed respects intellectual property rights under the Digital Millennium Copyright Act (17 U.S.C. Β§ 512). If you believe material on our platform infringes your copyright, submit a formal written notice to our designated agent at [email protected] including: physical/electronic signature, identification of copyrighted work, URL of infringing material, and a statement of good faith belief.
15. Section 230 CDA Disclaimer & Third-Party Content
Pursuant to 47 U.S.C. Β§ 230 (Communications Decency Act) and international intermediary safe harbors, Voteseed acts solely as an interactive platform and intermediary. We do not author, endorse, verify, or guarantee the claims, metrics, or promises made by participating projects or candidates. Users support and vote at their own discretion.
16. International Sanctions (OFAC / UN / EU) & Anti-Money Laundering
Users and applicant companies represent and warrant that neither they nor their beneficial owners are located in sanctioned territories or designated on the Specially Designated Nationals (SDN) list maintained by the US Department of the Treasury (OFAC), UN, or European Union. The platform strictly enforces automated AML monitoring and suspicious transaction reporting.
17. Individual Dispute Resolution & Class Action Waiver
Mandatory Individual Resolution:
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. USERS EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE PROCEEDING, OR REPRESENTATIVE LITIGATION AGAINST VOTESEED OR ALFA GLOBAL SERVICES.
